MYTSL CARE - INTERNATIONAL SERVICES

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, “Customer”) and MYTSL CARE, a global provider of technology-enabled administrative, sales, and digital support services (“MYTSL CARE”, “MyTSL”, “we”, “us”, “our”).

By accessing our website, engaging with our platforms, initiating a trial, executing a service order, or otherwise utilising any service provided by MYTSL CARE, you expressly acknowledge and agree to be bound by these Terms in full.

1. CORPORATE STATUS, STRUCTURE & OPERATIONS

MYTSL CARE operates as an international services division with operational presence and delivery capabilities in:

  • Wembley, London, United Kingdom
  • Ahmedabad, Gujarat, India

These Terms are drafted to comply with and be enforceable under:

  • The laws of England and Wales
  • UK Data Protection Act 2018
  • UK GDPR
  • EU GDPR (Regulation (EU) 2016/679)
  • Indian Information Technology Act, 2000
  • Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
  • Applicable Indian contractual, commercial, and consumer protection laws

Where local mandatory laws apply, those provisions shall prevail only to the minimum extent required.

2. DEFINITIONS & INTERPRETATION

For the purposes of these Terms:

  • “Services” means all support, administrative, AI-enabled, sales, data, digital, and business services provided by MYTSL CARE.
  • “AI Systems” includes automated chat, call routing, analytics, and decision-support tools.
  • “Confidential Information” means all non-public business, technical, operational, or personal information.
  • “Personal Data” has the meaning assigned under GDPR
  • “Processing” shall have the meaning under Article 4 of GDPR.

3. SCOPE OF SERVICES

MYTSL CARE provides services including, without limitation:

  • 24/7 Administrative Support (AI + Human)
  • Call & Chat Support Services
  • Sales Support, Lead Generation & CRM Operations
  • Secure Data Mining from lawful, public sources
  • Digital Marketing & Operational Support
  • AI integrations, analytics, and workflow automation
  • All services are provided on a commercially reasonable, best-effort basis and are not outcome-guaranteed.

    4. SERVICE ONBOARDING & ACCEPTAN

    Provision of services is conditional upon:

    • Completion of onboarding requirements
    • Verification of client identity and authority
    • Payment of applicable setup fees
    • Compliance checks where required

    MYTSL CARE reserves the absolute right to decline or discontinue onboarding without obligation to provide justification.

    5. PRICING, BILLING & TRIAL TERMS
    • All pricing is quoted per seat, per billing cycle, exclusive of taxes
    • Setup fees are non-refundable
    • Free trials are limited to one per legal entity
    • Failure to cancel before trial expiry results in automatic billin
    • Late payments may result in suspension or termination

    MYTSL CARE may revise pricing with reasonable prior notice.

    6. CLIENT OBLIGATIONS & WARRANTIES

    The Client warrants and represents that:

    • All information provided is accurate and lawful
    • It has full authority to share any data provided
    • Services will not be used for unlawful, deceptive, or unethical purposes
    • Applicable industry regulations are fully complied with

    The Client retains sole responsibility for all business decisions and communications.

    7. DATA PROTECTION & GDPR COMPLIANCE

    MYTSL CARE acts as:

    • Data Processor where processing occurs on client instructions
    • Data Controller where data is collected directly

    We process data strictly in accordance with:

    • Articles 5, 6, 28, 32, and 44 of GDPR
    • UK GDPR and UK Data Protection Act 2018
    • Indian IT Act and SPDI Rules

    Safeguards Include:

    • Lawful basis for processing
    • Purpose limitation
    • Data minimisation
    • Access control and encryption
    • Confidentiality obligations for staff and vendors
    8. INTERNATIONAL DATA TRANSFERS

    Where data is transferred between the UK, EU, and India:

    • Appropriate contractual safeguards are implemented
    • GDPR-compliant mechanisms are applied
    • Security standards remain consistent across jurisdictions
    9. SECURE DATA MINING & DISCLAIMERS

    Data mining services:

    • Use only lawful, public, and ethically sourced data
    • Exclude private, confidential, or unlawfully obtained information
    • Do not guarantee accuracy, completeness, or commercial results

    MYTSL CARE disclaims all liability arising from client reliance on mined data.

    10. CONFIDENTIALITY

    Each party agrees to:

    • Maintain strict confidentiality of Confidential Information
    • Use such information solely for contractual purposes
    • Apply reasonable security measures

    This obligation survives termination indefinitely.

    11. INTELLECTUAL PROPERTY RIGHTS

    All IP rights relating to:

    • AI systems
    • Software
    • Tools
    • Processes
    • Documentation

    Remain the exclusive property of MYTSL CARE unless expressly assigned in writing. No implied licences are granted.

    12. WARRANTIES & DISCLAIMERS

    Services are provided “as is” and “as available”.

    MYTSL CARE expressly disclaims all implied warranties, including fitness for purpose and merchantability, to the maximum extent permitted by law.

    13. LIMITATION OF LIABILITY

    To the fullest extent permitted by law:

    • No liability for indirect, incidental, or consequential loss
    • No liability for loss of profits, data, reputation, or business interruption
    • Aggregate liability shall not exceed fees paid in the preceding four (4) weeks

    Nothing excludes liability for fraud or wilful misconduct.

    14. INDEMNITY

    The Client agrees to indemnify and hold harmless MYTSL CARE from all claims, losses, penalties, and liabilities arising from:

    • Client misuse of services
    • Breach of law or regulation
    • Third-party claims related to Client data or instructions
    15. TERMINATION & SUSPENSION

    MYTSL CARE may suspend or terminate services immediately where:

    • Terms are breached
    • Payments fail
    • Regulatory or legal risk arises
    • Misuse or fraud is suspected

    Termination does not affect accrued rights.

    16. FORCE MAJEURE

    Neither party shall be liable for failure caused by events beyond reasonable control, including:

    • Acts of God
    • Regulatory changes
    • Cyber incidents
    • Infrastructure failures
    17. GOVERNING LAW & JURISDICTION

    These Terms shall be governed by the laws of England and Wales.

    Courts of London, UK shall have exclusive jurisdiction, subject to mandatory statutory rights.

    18. AMENDMENTS & ENTIRE AGREEMENT

    These Terms constitute the entire agreement and supersede prior communications. Amendments may be made by MYTSL CARE and published on its website.
